We are seeking a detail-oriented Paralegal to support the Commercial Segment who consider themselves contracts specialists. This position supports the end-to-end drafting, review, administration, and lifecycle management of commercial contracts across the organization’s segment.
This role is intended for an experienced Paralegal or Contract Administrator and is not a licensed attorney position. You will collaborate closely with internal stakeholders and external partners to ensure contracts are accurate, compliant with company policies, and properly executed, tracked, and maintained within the company’s Contract Lifecycle Management (CLM) system.
This position will sit full-time onsite in New Haven, CT and report to Corporate Counsel under the Commercial Segment.
What you will be doing
- Draft, review, revise, and negotiate routine commercial agreements using approved templates, including NDAs, MSAs, SOWs, vendor, and service agreements.
- Identify non-standard terms, ensure alignment with company policies and risk guidelines, and escalate legal-risk or interpretation issues to supervising counsel as appropriate.
- Manage the full contract lifecycle—from intake and internal approvals through execution, renewal, and expiration.
- Maintain accurate contract records within the Contract Lifecycle Management system (CLM), including tracking key dates, milestones, and notice periods.
- Coordinate internal approvals, signatures, and communication with business teams regarding contract status and processes.
- Ensure contracts contain required clauses (e.g., confidentiality, indemnification, insurance) and monitor compliance with contractual obligations.
- Support audits, regulatory reviews, and internal reporting by organizing and retrieving relevant documentation.
- Serve as a cross-functional liaison working closely with sales, procurement, finance, operations, executive leadership, and outside counsel.
- Establish and maintain legal department files, calendars, deadlines, and workflows using legal practice management software.
- Assist with investigations, research, compliance initiatives, training support, and related documentation as needed.
- Perform additional duties to support departmental and organizational needs.
What we are looking for
- Paralegal certificate or equivalent combination of education and experience.
- 3–7+ years of experience in contract drafting, review, and administration.
- Strong knowledge of contract structure, terminology, and commercial agreements.
- Experience working with Contract Lifecycle Management (CLM) and legal practice management systems.
- Excellent written communication skills, including document redlining.
- High attention to detail with strong organizational and time-management skills.
- Advanced proficiency in Microsoft Office, including Word, Excel, and Outlook.
Preferred Skills:
- Familiarity with procurement and vendor management processes.
- Experience using document management and e-signature platforms.
